By accessing or using the AGC Outdoor Supply website located at agcsupply.net and all associated pages, content, and services (collectively the “Website”), or by placing any order, opening a contractor account, or receiving products or services from AGC Outdoor Supply (“AGC,” “we,” “us,” or “our”), you (“Customer,” “User,” or “you”) confirm that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”).

These Terms apply to all visitors, registered users, account holders, contractors, and purchasing customers. If you are using the Website or placing orders on behalf of a business, company, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, DO NOT ACCESS OR USE THIS WEBSITE OR PURCHASE FROM AGC OUTDOOR SUPPLY.

AGC Outdoor Supply is a wholesale distributor of irrigation, landscape, drainage, and outdoor supply products serving landscape contractors, irrigation professionals, agricultural operators, and DIY enthusiasts primarily in Ocala, Florida and surrounding areas of Marion County and Central Florida.

AGC Outdoor Supply operates as a wholesale and trade supply business. Certain products, pricing tiers, and contractor account benefits may be restricted to verified trade customers.

 

  1. Products & Services Offered

AGC Outdoor Supply offers the following product categories and associated services:

  •       Residential & Commercial Irrigation — supply of sprinkler systems, controllers, valves, heads, pipes, fittings, and related components for residential and commercial properties
  •       Agriculture Irrigation — drip systems, micro-irrigation, field irrigation components, pumps, and equipment for agricultural and farming operations
  •       Drainage — French drains, catch basins, channel drains, corrugated pipe, grates, and drainage accessories
  •       Landscape Supplies — mulch, rock, gravel, soil amendments, edging, weed barrier, and general landscape materials
  •       Synthetic Turf — artificial grass products, infill, base materials, and installation supplies
  •       Low Voltage Landscape Lighting — LED fixtures, transformers, wire, connectors, timers, and outdoor lighting accessories

In addition, AGC Outdoor Supply offers: same-day pickup at our Ocala facility, local delivery to job sites and properties, technical support and product consultation, and contractor account programs with dedicated pricing.

Product availability, pricing, and specifications are subject to change without notice. AGC Outdoor Supply reserves the right to discontinue any product or service at any time.

 

 

  1. Contractor Accounts & Credit Applications

Account Eligibility

Contractor accounts are available to licensed landscape contractors, irrigation professionals, agricultural operators, and other trade customers operating in Florida. By applying for a contractor account, you represent that your business is properly licensed and in good standing with the State of Florida and any applicable local licensing authorities.

Credit Applications

AGC Outdoor Supply may offer trade credit accounts to qualified customers. All credit applications are subject to approval at AGC’s sole discretion. Approval may require submission of business references, trade references, a completed credit application form, and consent to a business credit inquiry. AGC reserves the right to approve, deny, modify, or revoke any credit account at any time.

Account Responsibilities

You are responsible for maintaining the security of your account credentials and for all orders and transactions made under your account. You must promptly notify AGC of any unauthorized use of your account. AGC is not liable for losses resulting from unauthorized account access caused by your failure to safeguard your credentials.

 

  1. Pricing, Orders & Payment

Pricing

All prices are listed in U.S. dollars and are subject to change without prior notice. Contractor account pricing and any applicable discount tiers are established at the time of account setup and may be modified by AGC upon written or electronic notice. Quoted prices are valid for the period specified in the quote; if no period is specified, quotes are valid for 30 days.

Order Acceptance

Submission of a purchase order, online order, or verbal order does not constitute a binding contract until accepted and confirmed by AGC Outdoor Supply. AGC reserves the right to refuse or cancel any order at any time for any reason, including but not limited to product unavailability, pricing errors, or concerns about the order’s legitimacy.

Payment Terms

For counter/cash purchases, full payment is due at the time of sale. For approved credit account holders, payment terms are as established in your credit agreement — typically net 30 days from invoice date unless otherwise specified. Invoices not paid by their due date may be subject to a monthly finance charge of 1.5% (18% per annum) or the maximum rate permitted under Florida law, whichever is lower.

AGC Outdoor Supply accepts payment by cash, check, ACH/bank transfer, and major credit cards. Returned checks are subject to a returned check fee as permitted under Florida Statutes § 832.07 and applicable Florida law.

Sales Tax

AGC Outdoor Supply is required to collect Florida state sales tax on applicable transactions in accordance with Florida Statutes Chapter 212 (Florida Communications Services Tax Simplification Law and Florida Sales and Use Tax Act). Customers claiming a sales tax exemption must provide a valid Florida Annual Resale Certificate or other appropriate exemption documentation prior to the time of sale. AGC is not responsible for tax consequences arising from a customer’s failure to provide valid exemption documentation.

 

 

  1. Delivery & Pickup

Same-Day Pickup

AGC Outdoor Supply offers same-day pickup at our Ocala, Florida facility for in-stock items. Availability of specific items for same-day pickup is subject to current inventory levels. It is the customer’s responsibility to verify availability before arriving. AGC is not liable for delays or inconvenience caused by items not being in stock.

Delivery

Local delivery to job sites, residences, and commercial properties is available within AGC’s service area. Delivery schedules, minimum order requirements, and delivery fees are established at the time of order. Delivery windows are estimates only; AGC is not liable for delays caused by traffic, weather, route conditions, or other circumstances beyond our control.

The customer or an authorized representative must be present to receive and inspect deliveries. If no authorized person is present, AGC may leave the delivery at the specified location at the customer’s sole risk, or reschedule at the customer’s expense. Risk of loss passes to the customer upon delivery to the specified location.

Damage & Shortages

Any damage, shortage, or discrepancy in a delivery must be noted on the delivery receipt and reported to AGC within 2 business days of delivery. Claims made after this period may not be honored. AGC is not responsible for damage occurring after delivery has been completed and accepted.

 

  1. Returns & Exchanges

ALL PRODUCT CLAIMS FOR SHORTAGES, ERRORS, OR DEFECTIVE MATERIAL MUST BE NOTED ON INVOICE AT TIME OF DELIVERY.

 

ALL SALES ARE FINAL. HOWEVER, ITEMS IN NEW SALEABLE CONDITION MAY BE RETURNED WITH PRIOR AUTHORIZATION AND ACCOMPANIED BY AN ORIGINAL INVOICE DATED NO OLDER THAN 30 DAYS.  RETURNS ARE SUBJECT TO A 25% RESTOCKING FEE. SPECIAL ORDERS  ARE NOT RETURNABLE. SERVICE CHARGE: A 1 1/2% CHARGE ON ALL UNPAID BALANCES 30 DAYS PAST DUE (18% ANNUM) PLUS ALL COSTS OF COLLECTION, INCLUDING ATTORNEY’S FEES IF INCURRED.

  1. Technical Support & Product Consultation

AGC Outdoor Supply offers technical support and product consultation as a courtesy service to assist customers in selecting appropriate products for their projects. While our staff strives to provide accurate and helpful guidance:

  •       Technical support and consultation are provided as a general resource only and do not constitute professional engineering, architectural, or licensed contractor advice
  •       The customer is solely responsible for verifying that selected products meet the specifications, codes, and requirements of their specific project
  •       AGC does not warrant that products will be suitable for any particular application based on consultation alone
  •       Irrigation system design, agricultural system design, and drainage design require site-specific professional evaluation; AGC’s guidance does not replace such evaluation

In Florida, certain irrigation and landscaping work may require licensing under Florida Statutes Chapter 489 (Construction Contracting) or local ordinances. Customers are responsible for ensuring their own compliance with applicable licensing requirements.

 

  1. Website Use Restrictions

The AGC Outdoor Supply Website is provided for informational and transactional purposes. Without our prior written consent, you may not:

  •       Use automated tools, bots, scrapers, or scripts to access, copy, or collect information from the Website
  •       Reproduce, republish, distribute, or commercially exploit any Website content without authorization
  •       Frame or mirror the Website or use the Website’s content in any competing product or service
  •       Attempt to gain unauthorized access to any portion of the Website, server, or associated systems
  •       Use the Website in any manner that violates applicable federal, Florida state, or local laws
  •       Use the Website for benchmarking or direct competitive intelligence purposes without written consent

AGC reserves the right to suspend or terminate access to the Website for any user who violates these Terms or who engages in conduct harmful to AGC, other users, or third parties.

The “AGC Outdoor Supply” name, logo, and related marks are trademarks of AGC Outdoor Supply and may not be used without prior written permission. Unauthorized use of our trademarks in connection with any product or service is strictly prohibited.

You may download or print Website content solely for your personal, non-commercial use. No other reproduction, distribution, modification, or commercial exploitation of Website content is permitted without written authorization from AGC.

 

  1. Compliance with Florida Law

Florida Water Use & Irrigation Regulations

Irrigation systems and water use in Florida are subject to regulation by the Florida Department of Environmental Protection, applicable Water Management Districts (including the St. Johns River Water Management District and Southwest Florida Water Management District for Marion County), and local ordinances. Customers are solely responsible for ensuring that irrigation systems and water use comply with all applicable water use restrictions, permitting requirements, and Florida Statutes Chapter 373 (Water Resources Act).

Florida Contractor Licensing

Installation of irrigation systems, drainage systems, and certain landscape improvements may require a licensed contractor under Florida Statutes Chapter 489 and applicable Marion County or municipal licensing requirements. AGC Outdoor Supply supplies materials only and does not hold itself out as a licensed contractor. Customers are responsible for engaging properly licensed professionals where required by law.

Florida Building Codes

Construction and installation work using products purchased from AGC must comply with the Florida Building Code and all applicable local amendments. AGC does not verify that customer projects comply with applicable codes, and compliance is the customer’s sole responsibility.

 

 

  1. Disclaimers of Warranty

THE AGC OUTDOOR SUPPLY WEBSITE AND ALL CONTENT THEREON ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED UNDER FLORIDA AND FEDERAL LAW, AGC OUTDOOR SUPPLY EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AGC does not warrant that: (a) the Website will be uninterrupted or error-free; (b) product information on the Website is complete, accurate, or current; (c) any defects in the Website will be corrected; or (d) products purchased will be suitable for any specific purpose without independent customer verification.

Manufacturer warranties, where applicable, are passed through to the customer. AGC does not independently warrant manufacturer products and is not responsible for manufacturer warranty claims or product defects beyond facilitating the warranty process.

 

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FLORIDA AND FEDERAL LAW, AGC OUTDOOR SUPPLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR DAMAGE TO PROPERTY — ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE, PRODUCTS, OR SERVICES, EVEN IF AGC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT NOT PROHIBITED BY FLORIDA LAW, AGC’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, A PURCHASE, OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT PAID BY YOU TO AGC IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (b) ONE HUNDRED DOLLARS ($100.00).

Nothing in these Terms limits AGC’s liability for: (i) death or personal injury caused by AGC’s proven negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be lawfully limited or excluded under Florida Statutes or applicable federal law.

 

 

  1. Indemnification

To the fullest extent permitted by Florida law, you agree to defend, indemnify, and hold harmless AGC Outdoor Supply and its affiliates, officers, directors, employees, agents, contractors, and suppliers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  •       Your use of the Website or products purchased from AGC
  •       Your violation of these Terms
  •       Your violation of any applicable federal, Florida state, or local law, regulation, or ordinance
  •       Your violation of any third-party rights, including intellectual property rights
  •       Any project, installation, or construction activity undertaken using products purchased from AGC, including any non-compliance with Florida Building Code or licensing requirements

This indemnification obligation survives the termination of these Terms and any business relationship with AGC.

 

  1. Governing Law, Venue & Dispute Resolution

Governing Law

These Terms and all matters arising out of or related to your use of the Website, purchase of products, or any business relationship with AGC Outdoor Supply shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Venue & Jurisdiction

Any legal action or proceeding arising out of or related to these Terms or your relationship with AGC Outdoor Supply shall be brought exclusively in the state or federal courts located in Marion County, Florida. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue in Marion County, Florida.

Informal Dispute Resolution

Before initiating any formal legal proceeding, both parties agree to attempt in good faith to resolve any dispute informally by contacting AGC Outdoor Supply directly. If the matter cannot be resolved within 30 days of written notice, either party may pursue available legal remedies.

Attorney’s Fees

In any dispute arising from these Terms or a commercial transaction with AGC, the prevailing party shall be entitled to recover reasonable attorneys’ fees and costs as permitted under Florida Statutes § 57.105 and other applicable Florida law.

 

 

  1. Privacy

Your use of the AGC Outdoor Supply Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference.   1. Changes to These Terms

AGC Outdoor Supply reserves the right to modify, update, or revise these Terms at any time. Changes will be effective upon posting to the Website with an updated effective date. For active account holders, we will make reasonable efforts to provide notice of material changes by email. Your continued use of the Website or continued purchasing from AGC following any changes constitutes your acceptance of the revised Terms.

 

  1. Entire Agreement & Severability

These Terms, together with any applicable credit agreement, purchase order confirmation, and the AGC Privacy Policy, constitute the entire agreement between you and AGC Outdoor Supply with respect to the subject matter herein. They supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect. AGC’s failure to enforce any right or provision shall not constitute a waiver of that right or provision.
